Seller-Side M&A Advisory · Miami · Nationwide

The right buyer matters.
So does selling at the right time.

Investment Consulting USA is an advisory firm, not a listing service. We represent owners, we will not bring your business to market until it is genuinely prepared, and you work directly with a senior advisor from the first conversation to closing — because the distance between selling today and selling well is often measured in millions.

Every conversation is private — no public listing, no obligation.

What We Do

Clear answers first. A sale only when it is right.

Every engagement begins with understanding where your business truly stands. From there, we help you decide — and, when the time is right, we represent you through the entire sale.

01

Business Assessment

A candid, senior-level read of your business as a buyer would see it: financial performance, transferability, concentration risks, and the specific factors that would move value before a sale. The foundation of every engagement.

For owners who want to know where they stand — whether a sale is one year out or five.
02

Broker’s Opinion of Value

A market-based opinion of what your business would likely command from qualified buyers today, prepared by an advisor who negotiates with those buyers every week. Grounded in real transactions, not theory.

For planning, partner discussions, lender conversations, and deciding whether now is the time.
03

Sell-Side Representation

Full representation from preparation through closing: positioning, a discreet buyer process, firm negotiation, and hands-on transaction management — with the same senior advisor involved at every stage.

For owners ready to sell, who want maximum value and complete confidentiality.
04

Exit Planning

For owners one to three years from a sale: a practical plan to strengthen the business, clean up the financials, and remove the issues that cost sellers the most at the negotiating table.

For owners who would rather sell from strength than urgency.
Our Approach

Counsel you can rely on — even when it is not what you hoped to hear.

Most firms are compensated to bring you to market today. We have built our reputation on a different discipline: giving owners an honest assessment of their business, their timing, and their value — and proceeding only when it genuinely serves their interests.

01 — INTEGRITY

We decline more than we accept

We take on only the clients we are confident we can serve well. If your business is not yet ready, or we are not the right fit, we will tell you directly and point you toward a better path — with no engagement and no pressure.

02 — DISCRETION

A private process, end to end

The sale of a business is a confidential matter. Our off-market approach ensures your staff, customers, and competitors remain unaware until you decide otherwise — protecting both your operations and your negotiating position.

03 — VALUE

Prepared sellers command more

A period of preparation — clean financials, precise positioning, a stronger pool of buyers — can change your outcome by seven figures. We help you sell from a position of strength rather than urgency.

Alejandra B. Barrera

Founding Partner & Senior M&A Advisor

A founding partner of Investment Consulting USA, Alejandra has been part of the firm since 2015 and brings institutional M&A discipline to owner-operated businesses. Alongside her role at the firm, she spent two years as an M&A consultant on Deloitte’s Integration & Divestiture team, working on multinational projects for healthcare institutions and multinational investment banks, transactions measured in the hundreds of millions of dollars.

Her transaction work spans the acquisition and sale of privately held companies from the low six figures to $50 million and beyond — across hospitality, distribution and manufacturing, services, wholesale and retail, franchises, technology, and financial services, including a federally chartered bank. She leads valuation and deal structuring, negotiates terms on the owner’s behalf, and directs lenders, CPAs, and attorneys through diligence to closing.

Alfonso E. Moncada

Managing Partner & Senior M&A Advisor

For eleven years Alfonso has advised owners of privately held businesses on when to sell, what their company is truly worth, and how to reach the right buyer without the world knowing. The firm has closed more than $108 million in transactions in that time, and nearly all of that work still arrives the same way: by referral from a client he told the truth to.

An economist by training with a second degree in accounting, Alfonso came to private-company M&A from the institutional side: involvement in cross-border institutional transactions in infrastructure and corporate development, several in the hundreds of millions of dollars, and time inside a regional bank learning its underwriting and customer-vetting processes first-hand. He earned his NMLS mortgage loan originator license while completing his accounting degree, then his ABA Universal Banking credential during his years in banking. It is why he reads a business the way a lender and a buyer will, before either of them does.

Based in downtown Miami and fluent in both markets, he brings qualified buyers from across the United States and Latin America to the table — and stays directly involved from the first conversation to the closing table. There is no hand-off.

The Process

A defined path from first conversation to closing.

Deliberate, discreet, and structured around your objectives at every stage.

1
Step One

Confidential Assessment

We assess what your business is realistically worth today — and what could move that figure before you sell.

2
Step Two

Readiness & Strategy

Together we determine whether to proceed now or prepare first, and we build the plan that maximizes your outcome.

3
Step Three

Discreet Buyer Process

Every buyer signs a confidentiality agreement before your company is identified. We introduce your business to a vetted, qualified pool — never through a public listing.

4
Step Four

Negotiation & Close

We negotiate firmly on your behalf, coordinate lenders and due diligence, and manage the transaction through to a clean, successful close.

Nationwide & Cross-Border

Based in Miami. Working across the country.

The strongest buyer for your business is rarely the one next door. From our office in downtown Miami we run a national practice — with recent transactions closed in Texas, Florida, Colorado, and beyond — backed by the cross-border reach to bring qualified buyers from across the U.S. and Latin America to the table.

Questions Owners Ask

Straight answers before you pick up the phone.

Will anyone find out my business is for sale?
No. We never list your business publicly. Every prospective buyer signs a confidentiality agreement before your company is identified, and your employees, customers, and competitors remain unaware until you decide otherwise.
What is a Broker’s Opinion of Value, and how is it different from an appraisal?
A Broker’s Opinion of Value is a market-based view of what your business would likely command from qualified buyers today, prepared by an advisor who negotiates with those buyers regularly. A certified appraisal is a formal valuation used for legal, tax, or lending purposes. If your situation requires one, we will tell you so and point you to the right resource.
Do I need to be ready to sell before contacting you?
Not at all. Many of the owners we work with are one to three years away from a sale. A business assessment tells you where you stand today and what would move value — and often the best advice is to prepare first.
What kinds of businesses do you work with?
Owner-operated, privately held businesses across trades and services, healthcare, technology, real estate, retail, and e-commerce. We work nationwide from Miami and bring qualified buyers from across the U.S. and Latin America.
Do you also represent buyers?
We represent owners. Working exclusively on the sell side means our only obligation in a transaction is to you, and our buyer relationships exist to serve your sale, not the other way around.
How do fees work?
Plainly and up front. We discuss fees in our first conversation, and there is no obligation of any kind until you decide to engage us.
How quickly will I hear back?
A senior advisor will contact you privately, typically within one business day.
